Affiliate Operating Agreement
This Agreement contains terms and conditions that apply to an individual's or entity's participation in the occasions-gift-giving.com Affiliate Program (the "Program"). As used in this Agreement, "we" means Occasions Gift Giving and you means the applicant, and "product" means any item offered for sale in the occasions-gift-giving.com online store. "Site" means a World Wide Web site, and depending on the context may refer to the occasions-gift-giving.com site or to the applicant's site.

It is agreed:

1) Enrollment in the program.
We will evaluate you application in good faith and notify you of your acceptance or rejection. We may reject your application (at our sole discretion) if we determine that your site is not suitable for the Occasions-gift-giving.com Affiliate Program. If we reject your application we welcome you to reapply to the Program at anytime.

2) Advertisement.
Site Owner will post at his/her web site an Advertisement of Advertiser's (occasions-gift-giving.com) design and specification (the "Advertisement'). Site owner will post the Advertisement as specified by Advertiser with no changes in content, appearance, design, format or specification. We may request that the Site owner remove the Advertisement at anytime and for any reason.

We may modify the text or graphical image of the Advertisement/Advertisements from time to time. We will consider requests to alter our Advertisement to better suit your site, reserving the right to deny or comply with the request.

3) Payment to Advertiser.
In full consideration for Website owner's posting of the Advertisement, Advertiser agrees to pay site owner as follows.
A) Advertiser will pay the Web site Owner fifteen percent (15%) of the internet retail selling price of each item of Advertiser's merchandise sold to consumers who use hyperlink from the Advertisement on the Web site owner's Web site to access Advertiser's Site, and not subsequently return or cancel order ("Final Sales").
B) Payment Schedule. Advertiser will make monthly payments, on or around 30 days following the end of each calendar month. Advertiser may hold thirty percent (20%) of each payment in anticipation of subsequent returns and cancellations, and the amount so withheld will be paid with the next payment. Advertiser may withhold payment until payment due is equal to or greater than $25 or in the event that this agreement is terminated.

4) Limited License.
We give you a non-exclusive, non-transferable, non-sublicensable, revocable right to use the Advertisement/Advertisements, and icons described in Section 1) and other sections of this agreement, and such other images for which we grant express permission, solely for the purpose of identifying your site as a Program participant. We reserve all of our rights in the messages, any other images, our trade names and trademarks, and all other intellectual property rights. We may revoke your license at any time by giving you notice via e-mail, mail, or fax.

5) Responsibility of Affiliates.
Except as provided here you agree that you have no rights, title or interest in the images of Occasions-gift-giving.com. You agree that you will not engage or participate or otherwise become involved in any activity or course of action that diminishes and/or tarnishes the image and or reputation of Occasions-gift-giving.com.

Members understand that information provided to them by Occasions-gift-giving.com may be of a proprietary nature. As such Members acknowledge and pledge that they are not competitors of Occasions Gift Giving and agree not to share information with competitors.

6) Modifications.
We reserve the right to change and revise any of the terms and conditions in this agreement, at anytime and at our sole discretion, by posting a change notice or a new agreement on our site. For example, changes may include but not limited to changes in, referral fee, fee schedules, payment procedures, and Program rules. If changes are not agreeable to you, your only recourse is to terminate your participation in this program. Continued participation in the program after a change constitutes acceptance of the new terms.

7) Relationship of Parties.
As a participant in the Affiliate program you and we are independent contractors, nothing in this agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.

8) Independent Investigation.
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT IN ITS ENTIRETY AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT BY APPLYING TO BECOME AN AFFILIATE YOUR APPLICATION WILL BE REVIEWED AND ONLY UPON RECEIPT OF A SEPARATE ACCEPTANCE E-MAIL WILL YOU BE ACCEPTED INTO THE PROGRAM. YOU ACKNOWLEDGE THAT IF YOU USE YOUR AFFILIATE LINK URL (WHICH IS AUTOMATICALLY GENERATED WHEN YOU APPLY TO THE PROGRAM) TO LINK TO OCCASIONS GIFT GIVING BEFORE,PRIOR TO AND WITH OUT HAVING FIRST RECEIVED THE SEPARATE ACCEPTANCE E-MAIL YOU FORFEIT ANY COMMISSIONS THAT YOU MAY HAVE GENERATED. YOU UNDERSTAND THAT WE MAY AT ANYTIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY BE DIFFERENT FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT

9) General.
This Agreement will benefit and bind the parties and their respective successors and assigns, contains a complete statement of arrangements between the parties relating to its subject matter, and supersedes all existing Agreements between them relating to its subject matter. The failure of a party to insist upon strict adherence to any term of this Agreement on any occasion will not be construed a waiver or deprive that party of the right thereafter to insist upon strict adherence to that term or any other term of this agreement. This Agreement will be governed by the laws of the United States and the State of Missouri, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the federal or state courts located in Waynesville, Missouri, and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent.
